Borrowing money

In addition to issuing shares a company can raise finance by borrowing money. This is usually done in the longer term by issuing debentures. A Company may create a debenture fund and issue certificates for particular parts of the fund. The rights of debenture holders are fixed by the contract governing the loan. This is incapable of being altered even if, along the way, the articles are altered. Any attempted alterations represent a breach of contract.
